«Toplofikatsia Ruse» AD (the Company) is a 100 per cent private joint-stock company having its seat and registered address at: Republic of Bulgaria, city of Ruse, TEC Iztok Str. The Company is entered in the Commerce Register at the Registry Agency with SID (ЕИК) 117005106.
On 28th August 2007 the Privatization Agency sold 4 813 367 in bulk, consisting 100 per cent of the shared capital of Toplofikatsia Ruse EAD, city of Ruse. The contract was concluded between the Privatization Agency and Holding Slovenske elektrarne d.o.o. (HSE).
On 14 December 2007, HSE transferred the ownership of 49% of the Company’s shares to Mechel International Holdings AG, Switzerland (MIHAG) after obtaining a preliminary written permission of Bulgarian Post-privatization Control Agency and of Bulgarian Competition Protection Agency.
The Company’s capital structure is as follows:
Holding Slovenske elektrarne d.o.o., Republic of Slovenia 2,454,818 shares 51 %
Mechel International Holdings AG, Switzerland 2,358,549 shares 49 %
The company has one-tier system of management. Company’s bodies –General Meeting of Shareholders and Board of Directors.
